What is a contract?

Contract

A contract is an exchange of promises between two or more parties to do, or refrain from doing, an act which is enforceable in a court of law. It is a binding legal agreement. Breach of contract is recognised by the law and remedies can be provided.

Normally contracts are promise that the law will enforce. The law provides remedies if a promise is breached. Contracts arise when a duty may come into existence, because of a promise made by one of the parties. To be legally binding as a contract, a promise must be exchanged for adequate consideration. Certain promises that are not considered contracts may, in limited circumstances, be enforced if one party has relied to his detriment on the assurances of the other party.

The five key requirements for the creation of a contract are: 1. offer and acceptance (agreement) 2. consideration 3. an intention to create legal relations 4. legal capacity 5. formalities.

Establish sufficient references about the vendor.

Negotiate the contract terms and conditions with the vendor.

Prepare the contract and get it signed by legal office and the vendor.

Establish Purchase Order.

The Contract termination letter is used to provide written notice to a person or organization that a contract is being terminated.

Before to write a Contract termination letter make sure that conditions of your contract termination are meet the ones specified in your contract.

Once your contract termination letter is sent make sure it is received by the recipient and keep the receipt evidence.
