Gross Proceeds
Funds paid to a shareholder as a result of a transaction
other than a dividend payment. The amount of funds paid must
be reported to the IRS on Form 1099B.
Guarantee of Delivery
During corporate reorganizations such as tender offers, a
notification used by broker/dealers in the event that an
investor desires to tender shares according to the terms of
the offer, but cannot physically deliver shares prior to the
expiration of the tender offer. A shareholder cannot submit
a guarantee of delivery. Guarantees of delivery must be
submitted through an eligible institution.
Guarantor
An institution, usually a commercial bank or brokerage, that
guarantees the signature of another person who is signing a
stock power or stock certificate in order to effect the
transfer of shares.
Guardian
A person legally entrusted, by court appointment, with the
care of, and managing the property and rights of, another
person, usually a minor or incompetent.
