Legal Transfer
Any stock transfer transaction that requires documentation
other than a stock power to validate the transfer of
ownership.
Legended Stock
Certificates of stock that bear printed clauses on the
reverse side that refer to conditions that prevent the sale,
transfer or exchange of the shares unless certain
requirements are met. Legended stock is also called
"restricted stock". Shares can be restricted for many
reasons including: SEC insider trading provisions, lock-up
agreements, and performance agreements.
Letters of Appointment
A document issued by a court evidencing the appointment of
an administrator or executor of an estate. (Also called
Letters of Testamentary or Letters of Administration).
Letter of Administration
A document issued by a court evidencing the appointment of
an Administrator of an Estate.
Letter of Testamentary
A document issued by a court evidencing the appointment of
an Executor of Estate.
Letters of Transmittal
Used in corporate actions, a document that provides
instructions to a shareholder in order to participate in the
corporate action. The Letter of Transmittal should be
completed by the shareholder and accompanies stock
certificates that are to be submitted.
